The Alliance's policy priorities include:

Providing a statutorily codified business judgment rule that fosters certainty in corporate decision-making;

Allowing for prospective judicial certification of special committee independence prior to the deployment of capital;

Allowing corporations to establish an ownership threshold for derivative suits, ensuring that shareholders drive large-scale litigation with a real economic interest in the enterprise vs. as a cottage industry for lawyers; and
-
Strengthening and upholding the Texas Business Court.
Together, these efforts will create a jurisdiction aligned with our vision for corporate excellence.

About The Alliance
The Alliance exists because we believe that corporate decision-making should be made by shareholders and by their elected directors and agents, and not by activists who are not invested in long-term corporate success.
Acting on these beliefs, the Alliance is supporting various changes to the Texas Business Organizations Code that, we believe, will make Texas a superior jurisdiction not only for incorporations but simply a place to do business. These changes will provide a counterbalance to states that are moving away from market-driven, business friendly and common sense jurisprudence towards judicial control through activism and decision-making uncertainty.
